1. Acceptance of Terms
By accessing or using any product, service, or website operated by M Zone Technologies ("we," "us," or "our"), you agree to be bound by these Terms of Use. If you do not agree to these terms, you must not use our services.
These terms apply to all users including visitors, registered users, paying customers, and business clients. Use of any of our products constitutes acceptance of these terms.
If you are using our services on behalf of a business or organisation, you represent that you have the authority to bind that entity to these terms, and "you" refers to both you and the entity.
2. About Our Services
M Zone Technologies provides the following products and services:
- mzonetechnologies.com — Our agency website and portfolio
- PunchPay (punchpay.in) — Payroll and attendance management SaaS for businesses
- Quely.ai — AI-powered social media management platform for retailers
- Melt Messenger — Real-time discovery messaging mobile application
- Mingle AI — AI-powered dating reply suggestion mobile application
- Cinemento — Cinematic memory capture mobile application
- Custom Software Development — Bespoke software and mobile applications built for business clients
We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice where practicable.
3. User Accounts and Registration
Some of our services require you to create an account. When registering:
- You must provide accurate, current, and complete information
- You are responsible for maintaining the confidentiality of your login credentials
- You are responsible for all activity that occurs under your account
- You must notify us immediately of any unauthorised access or security breach
- One person or entity may not maintain more than one active account unless explicitly permitted
- Accounts are non-transferable unless agreed in writing
We reserve the right to suspend or terminate accounts that violate these terms, provide false information, or engage in harmful activity.
4. Acceptable Use
You agree to use our services only for lawful purposes and in accordance with these terms. You must not:
- Use our services in any way that violates applicable Indian or international laws or regulations
- Transmit any unsolicited commercial communications (spam) through our platforms
- Attempt to gain unauthorised access to any part of our services or other users' accounts
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of our software
- Use automated bots, scrapers, or scripts to access our services without written permission
- Upload or transmit viruses, malware, or any malicious code
- Engage in any conduct that restricts or inhibits anyone else's use of our services
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Use our services to store or transmit unlawful, defamatory, abusive, or obscene content
- Resell or sublicense our services without explicit written permission
Violation of acceptable use terms may result in immediate suspension or termination of your account without refund, and may be reported to relevant law enforcement authorities.
5. Payments, Subscriptions and Refunds
SaaS Products (PunchPay, Quely.ai)
Subscription fees are charged in advance for the selected billing period (monthly or annually). All fees are in Indian Rupees (INR) unless otherwise stated. Prices are subject to change with 30 days notice. GST is applicable as per Indian tax law.
Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period — we do not offer pro-rated refunds for partial periods.
Custom Software Projects
Payment terms for custom projects are governed by the individual project agreement signed between M Zone Technologies and the client. Milestone payments are non-refundable once the corresponding milestone has been delivered and accepted.
Refund Policy
Free trial periods, where offered, do not require payment. Paid subscriptions that have not been used within 7 days of the first charge may be eligible for a full refund upon request. After 7 days, subscription fees are non-refundable. We evaluate refund requests on a case-by-case basis for exceptional circumstances.
In-App Purchases
In-app purchases made through Apple App Store or Google Play are subject to the respective platform's refund policies. We do not process refunds for purchases made through these platforms — please contact Apple or Google directly.
6. Intellectual Property
Our Intellectual Property
All content, software, features, and functionality of M Zone Technologies products — including but not limited to text, graphics, logos, code, user interfaces, and trademarks — are owned by M Zone Technologies and are protected by applicable intellectual property laws.
You are granted a limited, non-exclusive, non-transferable licence to access and use our services for your personal or internal business purposes. This licence does not include the right to copy, modify, distribute, or create derivative works from our products.
Custom Software Ownership
For custom software projects, intellectual property ownership is defined in the individual project agreement. Where agreed, full ownership of the custom code is transferred to the client upon receipt of final payment. M Zone Technologies retains the right to use general programming techniques, frameworks, and non-client-specific code developed during the project.
Your Content
You retain ownership of content you upload or create using our services (such as product images in Quely.ai or employee data in PunchPay). You grant M Zone Technologies a limited licence to use this content solely to provide and improve our services to you. We do not claim ownership over your content.
7. Privacy
Your use of our services is also governed by our Privacy Policy, which is incorporated into these terms by reference. By using our services, you consent to the collection and use of information as described in our Privacy Policy.
8. Third-Party Services and Links
Our services may integrate with or link to third-party services and websites including Meta (Facebook, Instagram), Google, Apple, payment providers, and others. These third-party services are governed by their own terms of use and privacy policies. M Zone Technologies is not responsible for the content, policies, or practices of any third-party service.
By connecting third-party accounts to our services (such as connecting your Instagram account to Quely.ai), you authorise us to access those accounts as permitted by the respective platform's API terms.
9. Disclaimers and Limitation of Liability
Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, completely secure, or free of viruses or other harmful components.
Limitation of Liability
To the maximum extent permitted by applicable law, M Zone Technologies and its founders, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services.
Our total liability to you for any claim arising from these terms or your use of our services shall not exceed the amount you paid to M Zone Technologies in the 3 months preceding the claim.
Business Data
For payroll, attendance, and business management products, we strongly recommend maintaining independent backups of critical business data. While we implement robust backup systems, M Zone Technologies is not liable for data loss arising from circumstances beyond our reasonable control.
10. Indemnification
You agree to indemnify, defend, and hold harmless M Zone Technologies and its founders, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with:
- Your violation of these Terms of Use
- Your violation of any applicable law or third-party rights
- Content you upload, submit, or transmit through our services
- Your use of our services in a manner not authorised by these terms
11. Service Availability and Maintenance
We aim to maintain high availability for all our services but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. Unscheduled downtime may occur due to technical issues, security incidents, or circumstances beyond our control.
We are not liable for any losses or damages resulting from service unavailability. We will make reasonable efforts to restore service as quickly as possible following any outage.
12. Termination
Either party may terminate the use of our services at any time:
- You may terminate by closing your account and ceasing use of our services
- We may terminate or suspend your access immediately if you violate these terms
- We may terminate a service with 30 days notice if we discontinue it
Upon termination, your right to use our services ceases immediately. We will provide a reasonable opportunity to export your data before account deletion, subject to our data retention policy. Termination does not affect any accrued rights or obligations.
13. Governing Law and Dispute Resolution
These Terms of Use are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. The courts of Tamil Nadu, India shall have exclusive jurisdiction over any disputes arising from these terms or your use of our services.
Before initiating any legal proceedings, we encourage you to contact us directly at info@mzonetechnologies.com to resolve disputes amicably. Most issues can be resolved quickly through direct communication.
14. Changes to These Terms
We reserve the right to modify these terms at any time. When we make material changes, we will update the "Last Updated" date and, where appropriate, notify you via email or in-app notification. Your continued use of our services after changes take effect constitutes acceptance of the revised terms.
If you disagree with any changes, you must stop using our services and may close your account.
15. Severability and Entire Agreement
If any provision of these terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
These terms, together with our Privacy Policy and any project-specific agreements, constitute the entire agreement between you and M Zone Technologies regarding your use of our services.
